Terms of Use and Conditions of Sale

These Terms of Use and Conditions of Sale ("Terms") govern your access to northspecs.ca (the "Site") and every order you place with North Specs Labs ("North Specs Labs", "we", "us", "our"). By using the Site, creating an account, or placing an order, you agree to these Terms, our Research Use Only Policy, our Privacy Policy and our Acceptable Use Policy, each of which is incorporated here by reference.

If you do not agree to these Terms, do not use the Site and do not place an order.

1. Who may use the Site

The Site is directed at qualified researchers, laboratories and research institutions. It is not directed at consumers or the general public. You may use the Site only if you are at least the age of majority in your jurisdiction, have the legal capacity to enter into a binding contract, and are not barred from doing so under any applicable law. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" includes that organisation.

2. Research Use Only

All products offered by North Specs Labs are intended strictly for laboratory research purposes. These materials are not for human consumption and are not intended for diagnostic, therapeutic, or medical use.

By purchasing from our website, customers confirm that they are qualified researchers, laboratories, or research institutions and fully understand the research-use-only designation associated with these products.

The full terms of that designation, including the attestation you make when ordering, are set out in the Research Use Only Policy. Compliance with that policy is a condition of every sale. Nothing in these Terms limits or qualifies it.

3. Accounts

You may need an account to order. You agree to provide accurate, current and complete information, including genuine institutional details, and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorised use. We may suspend or close an account at any time where we reasonably believe these Terms or the Research Use Only Policy have been breached, where information provided is inaccurate, or where required by law.

4. Products, specifications and documentation

4.1 Descriptions

We take reasonable care to describe products accurately, including CAS number, molecular formula, molecular weight, sequence and stated purity. Specifications are drawn from batch analysis and are accurate to the best of our knowledge at the time of publication. Minor variation between batches is inherent to peptide synthesis.

4.2 Certificates of Analysis

Where a certificate of analysis is published, it relates to the specific batch identified on it and to no other. Purity figures reflect the stated analytical method (typically HPLC) under the conditions described. You are responsible for confirming that the method and specification meet the requirements of your own work.

4.3 Images and artwork

Product imagery, including stylised vial artwork and molecular illustrations, is representational. It does not depict the exact vial, label, fill volume or appearance of the item you will receive.

4.4 Availability

All products are offered subject to availability. We may change, limit, suspend or discontinue any product at any time without notice.

5. Orders, pricing and payment

5.1 Offer and acceptance

Your order is an offer to purchase. No contract is formed until we issue a dispatch confirmation. An order acknowledgement, payment authorisation or charge does not constitute acceptance.

5.2 Pricing

Prices are stated in Canadian dollars (CAD) unless otherwise shown, and exclude taxes, duties and shipping unless expressly stated. We may correct pricing errors at any time before dispatch. Where a price was materially incorrect, we may cancel the affected line and refund you rather than supply at the incorrect price.

5.3 Taxes and duties

You are responsible for all applicable sales taxes, GST/HST/PST, customs duties, import fees and brokerage charges. For international orders these are assessed by the destination authority and are payable by you.

5.4 Payment

Payment is taken through our payment providers. We do not store full payment card details. You warrant that you are authorised to use the payment method presented. We may decline any payment method, and may require pre-payment, institutional purchase order approval or additional verification before dispatch.

6. Shipping, title and risk

Dispatch times are estimates, not guarantees, and we are not liable for delays caused by carriers, customs, weather or other events outside our reasonable control. Title and risk of loss pass to you on delivery to the address you provide, or to your carrier where you arrange collection. You are responsible for ensuring the delivery address is a facility appropriate for receiving research materials and that a competent person is available to receive them. 7. Import, export and end use

You are solely responsible for determining whether a product may lawfully be imported into, possessed in, and used within your jurisdiction, and for obtaining any permit, licence or authorisation required. Some materials are restricted or prohibited in some countries. We do not provide legal advice on import legality and we do not act as importer of record. Where a shipment is seized, detained, returned or destroyed by a customs or regulatory authority, you bear the loss and no refund is due.

You must not export, re-export, divert or transfer any product in breach of applicable trade control, sanctions or export control laws.

8. Returns and refunds

Because these are research chemicals whose integrity depends on unbroken cold chain and handling, returns are accepted only in the limited circumstances set out in our Returns and Refunds policy, principally where an item arrives damaged, is materially not as described, or was shipped in error, and where you notify us within the stated window. Opened, used, reconstituted or improperly stored product cannot be returned.

9. Warranties and disclaimer

9.1 Limited warranty

We warrant only that, at the time of dispatch, each product conforms in material respects to the specification on its certificate of analysis for the relevant batch. This is the entire warranty we give.

9.2 Disclaimer

Except as expressly stated in clause 9.1, and to the maximum extent permitted by applicable law, all products and all content on the Site are provided "as is" and "as available", and we disclaim all other representations, warranties, conditions and terms, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, or arising from a course of dealing or usage of trade.

We do not warrant that any product will produce any particular experimental result, that it is suitable for your intended application, that the Site will be uninterrupted or error free, or that reference material, calculators or published research on the Site are free from error.

Some jurisdictions do not allow the exclusion of certain warranties. Where such law applies, the above exclusions apply only to the extent permitted, and nothing in these Terms excludes liability that cannot lawfully be excluded.

10. Limitation of liability

To the maximum extent permitted by applicable law:

  1. We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, data, research results, business, contracts, goodwill or anticipated savings, however caused and on any theory of liability, whether in contract, tort (including negligence), strict liability or otherwise, even if we have been advised of the possibility of such damages.
  1. We are not liable for any loss, injury, illness, damage or claim arising from or relating to any use of a product other than lawful in-vitro laboratory research, including any administration to or consumption by a human or animal, whether by you or by any other person, and whether or not foreseeable.
  1. Our total aggregate liability arising out of or relating to these Terms, the Site and any product, in respect of all claims in aggregate, is limited to the greater of (a) the amount you actually paid to us for the specific product giving rise to the claim, and (b) one hundred Canadian dollars (CAD 100).
  1. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Each provision of this clause operates separately. If any part is held unenforceable, the remainder continues to apply.

11. Indemnity

You agree to indemnify, defend and hold harmless North Specs Labs, its officers, directors, employees, agents, suppliers and contractors from and against all claims, demands, proceedings, losses, liabilities, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to:

  • your breach of these Terms, the Research Use Only Policy or the Acceptable Use Policy;
  • your use, storage, handling, transport, resale or disposal of any product;
  • any administration of a product to, or consumption of a product by, any human or animal;
  • your breach of any applicable law, regulation, permit condition or third-party right;
  • any inaccuracy in the information or attestation you provided to us.

This indemnity survives termination of these Terms.

12. Intellectual property

The Site and all its content, including text, product descriptions, articles, calculators, artwork, logos, the North Specs Labs name and mark, page design, code and compilation, are owned by or licensed to us and are protected by intellectual property law. You may view and print pages for your own internal research reference. You may not otherwise copy, reproduce, republish, scrape, mine, resell, adapt or create derivative works from any part of the Site without our prior written consent. No licence is granted by implication or estoppel.

13. Acceptable use of the Site

You must not misuse the Site. Prohibited activity includes attempting to gain unauthorised access, probing or testing the vulnerability of any system, interfering with service to any user, introducing malicious code, automated scraping or bulk data extraction, circumventing access controls or rate limits, impersonating any person, or using the Site to transmit unlawful, misleading or infringing content. 14. Third-party links and services

The Site may link to third-party websites, publications and services, and relies on third-party providers for payment, shipping, email and analytics. We do not control and are not responsible for third-party content, practices or availability. A link is not an endorsement.

15. Suspension and termination

We may suspend or terminate your access to the Site or your account, and cancel any pending order, immediately and without notice, where we reasonably believe you have breached these Terms or the Research Use Only Policy, where required by law or a regulatory authority, or where continued supply would present a compliance or safety risk. Clauses 9 to 12, 16 and 17 survive termination.

16. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims), are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-law rules. You and we submit to the exclusive jurisdiction of the courts of the Province of Ontario, except that we may seek injunctive relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If you are a consumer resident in a jurisdiction whose mandatory law gives you rights that cannot be excluded by agreement, nothing in this clause deprives you of those rights.

17. General

Entire agreement. These Terms, together with the policies incorporated by reference, form the entire agreement between you and us and supersede all prior discussions and representations.

Changes. We may amend these Terms at any time by publishing a revised version. The version in force is the one published when you place an order. Continued use after a change constitutes acceptance.

Severability. If any provision is held invalid or unenforceable, it is severed and the remaining provisions continue in full force.

No waiver. A failure or delay in enforcing any provision is not a waiver of it.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations on notice to you.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural events, epidemic, labour dispute, carrier failure, utility or network failure, regulatory action or armed conflict.

Notices. Legal notices to us should be sent to [email protected]. We may give notice to you at the email address on your account.

Language. These Terms are drawn up in English. Any translation is provided for convenience and the English version prevails.
